Client Agreement - Ali Johnson Photography

Terms and Conditions: *

Upon paid reservation deposit, Ali Johnson Photography shall reserve the time and date agreed upon. In the event that client cancels the photography sessions after payment is received by Ali Johnson Photography and session is not to be rescheduled by client, client shall forfeit the $100 fee. In the event that client does not appear for the photography session at the scheduled time or fails to notify Ali Johnson Photography of rescheduling at least one (1) hour prior to client’s scheduled photography session, client shall forfeit the fee. If, in the opinion of the photographer, inclement weather or other adverse conditions prevent the creation of a portrait meeting to the artistic standards of Ali Johnson Photography, photographer may elect to use an alternate location or to reschedule the portrait. No part of any order, including previews, will be delivered until the balance is paid in full.
Ali Johnson Photography reserves the right to use images created under this contract for advertising, display, publication or other purposes. The client signing this contract warrants that he or she has actual authority to agree to the use of the likeness of all persons included in the portrait in this manner and shall indemnify and defend Ali Johnson Photography in the event of litigation arising out of such use. Negatives, digital files and previews remain the exclusive property of Ali Johnson Photography.
For Consideration herein acknowledged as received, and by signing this release I hereby give the Photographer my permission to license the Content and to use the Content in any Media for any purpose (except pornographic or defamatory) which may include, among others, advertising, promotion, marketing and packaging for any product or service. I agree that the Content may be combined with other images, text, graphics, film, audio, audio-visual works; and may be cropped, altered or modified. I acknowledge and agree that I have consented to publication of my ethnicity(ies) and gender as indicated below, but understand that other ethnicity(ies) or gender maybe associated with me by the Photographer/Filmmaker and/or Assigns for descriptive purposes. I agree that I have no rights to the Content, and all rights to the Content belong to the Photographer/Filmmaker and Assigns. I acknowledge and agree that I have no further right to additional consideration or accounting, and that I will make no further claim for any reason to Photographer/Filmmaker and/or Assigns. I acknowledge and agree that this release is binding upon my heirs and assigns. I agree that this release is irrevocable, worldwide and perpetual, and will be governed by the laws (excluding the law of conflicts) of the country/state from the following list that is nearest to the address of the Model (or Parent*) given opposite: New York, Alberta, England, Australia and New Zealand. It is agreed that my personal information will not be made publicly available but may only be used directly in relation to the licensing of the Content where necessary (e.g. to defend claims, protect rights or notify trade unions) and may be retained as long as necessary to fulfill this purpose, including by being shared with sub-licensees/assignee’s of the Photographer/Filmmaker and transferred to countries with differing data protection and privacy laws where it may be stored, accessed and used. I represent and warrant that I am at least 18 years of age and have the full legal capacity to execute this release
If, during the photography session and/or before being delivered to client, the session media has been lost or is unusable because of defect, damage, equipment malfunction, processing, or other technical error caused by Ali Johnson Photography, Ali Johnson Photography shall re-shoot the session without additional fee. Re-shoots are determined at the discretion of Ali Johnson Photography and will not be granted for instances pertaining to client and/or client’s subject appearance, weather-related issues, or deviation from the recommendations of Ali Johnson Photography. If Ali Johnson Photography cannot perform this contract due to fire or other casualty, strike, act of God or other cause beyond the control of the parties, or due to the photographer’s illness or emergency, and the sitting fee is refunded to the client , Ali Johnson Photography shall have no further liability with respect to the contract.
Client is aware that color dyes in photography may fade or discolor over time due to the inherent qualities of dyes, and client releases Ali Johnson Photography from any liability for any claims whatsoever based upon fading or discoloration due to such inherent qualities. Client and/or clients subjects hereby grant to Ali Johnson Photography the irrevocable and unrestricted right to use and publish photographs of client and/or client subjects, or in which client and/or client subjects may be included, for trade, advertising, and any other purpose and in any manner and medium; to alter the same; and to copyright the same. Client hereby releases Ali Johnson Photography from all claims and liability relating to said photographs. This Agreement shall be governed by and interpreted under the laws of the Commonwealth of Virginia.
